Welcome to Brandbabaa! These Terms of Service ("Terms") govern your use of the Brandbabaa AI platform and services. By signing up for or using Brandbabaa, you agree to these Terms. If you are using Brandbabaa on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms. Please read them carefully. There is no long-term lock-in; you may cancel as described below, but note that certain fees may apply on cancellation.
Description of Services: Brandbabaa provides an AI-powered sales automation system, to help you capture, qualify, and follow up with leads. Key features include an AI qualification chatbot, automated follow-up sequences (WhatsApp messages, emails, and reminders), a WhatsApp-based CRM dashboard for lead management, and smart triggers to move leads through your pipeline. Our team assists with initial setup (prompt engineering, workflow configuration) so you can go live quickly without heavy technical effort.
Automated Messaging: Brandbabaa may send automated follow-up messages or reminders to your leads as configured in your account. These messages will be sent from your own WhatsApp number or configured email address. By default, Brandbabaa's system is designed to avoid spamming leads: for example, if a lead replies to an automated sequence, the system will pause or delay further automated messages to that lead. You are solely responsible for the content, timing, and frequency of any automated messages you configure.
Compliance: You must ensure that your automated outreach complies with all applicable laws (such as anti-spam/telemarketing laws) and WhatsApp/Facebook policies.
Consent: You are responsible for obtaining and maintaining any necessary consents from recipients. If a lead withdraws consent or opts out, you must cease messaging them; Brandbabaa provides tools to help manage opt-outs, but you must use them lawfully. Brandbabaa is not liable for any messaging you send – you assume responsibility for using our automation features in a lawful, non-abusive manner.
Your Account: You must provide accurate information and keep your account credentials secure. You are responsible for all activity under your account. You agree not to misuse the Services. Brandbabaa may suspend or terminate your access for violations of these Terms or applicable laws.
By subscribing to Brandbabaa, you agree to pay the fees outlined for your chosen plan, as well as any additional charges as described below. All fees are stated in INR (₹) unless specified otherwise, and are exclusive of applicable taxes.
Subscription Fees: Brandbabaa charges a flat monthly (or annual) subscription fee per authorized user ("seat") on the platform. Your plan will specify the number of users included. There are no per-message or per-lead charges for using the core Brandbabaa features – you can send unlimited WhatsApp messages, follow-ups, sequences, and AI replies through the platform as part of your subscription, subject to fair use and compliance with these Terms.
Additional Seat Fees: If you invite additional users beyond the included seats in your plan, each additional seat will incur an extra monthly charge. Volume discounts or custom pricing for large teams may be available.
WhatsApp API and Conversation Charges: If you choose to use Brandbabaa via the official WhatsApp Business API, Meta (WhatsApp) imposes its own conversation or template message fees. These third-party WhatsApp fees are NOT included in Brandbabaa's subscription price.
One-Time Setup and Service Fees: Certain premium onboarding or implementation services carry a one-time fee, such as the "Industry Essentials" and "Growth Lab" packages. Unless otherwise specified, one-time service fees are charged upfront and are non-refundable once the service has been rendered.
Taxes: All fees are exclusive of any GST, sales tax, VAT, or other government levies. You agree to pay or reimburse Brandbabaa for all applicable taxes and duties.
Changes in Fees: Brandbabaa may update its subscription fees or other charges from time to time. We will provide notice at least 30 days in advance of any increase in recurring fees.
Billing Cycle: Subscription fees are typically billed in advance, on a monthly or annual cycle depending on the plan you selected.
Payment Method: You must provide a valid payment method and authorize Brandbabaa to charge it for all fees due.
Late Payments: If any subscription or usage fee is not paid on time, Brandbabaa reserves the right to suspend or downgrade your service. The Brandbabaa system may automatically move your account into a suspended state if payment has not been received 10 days after the due date.
Failed Charges: If we are unable to process your provided payment method, we will notify you and you should update your payment details promptly.
Invoice Disputes: If you believe an invoice or charge is incorrect, you must contact us in writing within 15 days of the invoice date.
Suspension for Non-Payment: Brandbabaa may suspend your service for failure to pay fees when due. Reactivation of a suspended account may be subject to full payment of outstanding amounts and a reactivation fee.
Termination by You (Cancellation): You may cancel your Brandbabaa subscription at any time via your account settings or by written notice. Your account will remain active until the end of the period you have paid for.
Termination by Brandbabaa: Brandbabaa may terminate this agreement or your account for breach of these Terms. If Brandbabaa terminates your account for misconduct or breach, you will not be entitled to any refund.
Effect of Termination: Upon termination or expiration of your subscription, your right to use the Brandbabaa platform ceases.
Brandbabaa's base subscription covers the use of our software platform and standard features. In addition, our team will assist with initial onboarding which may include setting up your pipelines, configuring an AI prompt for lead qualification, integrating your WhatsApp or email, and creating initial follow-up sequences tailored to your needs.
"Industry Essentials" Onboarding Package: A one-time service in which Brandbabaa's team performs the initial account setup for a single product or service — sequences, AI knowledge base, qualification prompts, and pipeline configuration.
"Growth Lab" Advanced Package: For clients with multiple product lines, an advanced multi-product setup and optimization service, including multi-stage nurturing sequences, urgency/FOMO messaging, comprehensive AI and automation setup, and dedicated support.
Custom Work Beyond Scope: Any additional custom work or requests beyond the standard scope are not included in your base fee and will be subject to additional fees and a separate written agreement.
Brandbabaa IP: All rights, title, and interest in and to the Brandbabaa platform are owned by Brandbabaa or its licensors. You are granted a limited, revocable right to use the platform for your internal business purposes.
Your Data: You retain all rights to the data you input into Brandbabaa. Brandbabaa will process this data only to provide the services to you, in accordance with our Privacy Policy.
Third-Party Services: Brandbabaa may utilize third-party platforms and subprocessors. By using Brandbabaa, you acknowledge that your data and messages may be transmitted through or stored on such third-party systems.
No Warranty: Brandbabaa is provided "as is" and "as available". We do not guarantee that the service will be uninterrupted, error-free, or will achieve any specific results for your business. Brandbabaa disclaims all warranties and conditions, whether express, implied, or statutory.
Limitation of Liability: To the fullest extent permitted by law, in no event will Brandbabaa be liable for any indirect, special, incidental, consequential, or punitive damages. Brandbabaa's total cumulative liability for any claims arising in a given calendar year will not exceed the amount actually paid by you to Brandbabaa in the preceding six (6) months.
Indemnification: You agree to indemnify and hold harmless Brandbabaa and its officers, agents, and employees from any claim arising out of or related to your use of the service, your breach of these Terms, or your violation of any law or rights of a third party.
Changes to Terms: Brandbabaa may update or modify these Terms from time to time. Continued use of Brandbabaa after a Terms update constitutes your acceptance of the changes.
Governing Law and Dispute Resolution: These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.
Entire Agreement: These Terms, along with any Order Form, Appendix, or policies referenced (such as the Privacy Policy or Refund Policy), constitute the entire agreement between you and Brandbabaa regarding the service.
Assignment: You may not assign or transfer this agreement to a third party without Brandbabaa's written consent.
No Waiver: If either party fails to enforce any provision of these Terms, it will not be considered a waiver of the right to enforce it later.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Notices: Brandbabaa may send you notifications via email, through the platform, or to any other contact information you provide.
Subcontractors and Subprocessors: Brandbabaa may utilize subcontractors or integrate with other service providers in delivering the service.
Force Majeure: Brandbabaa will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control.
